Acceptance of Terms

By engaging with the company’s services, accessing its websites, or entering into a contract, users agree to be bound by these terms of service. These terms establish the rights and responsibilities of the parties in connection with the provision and use of services unless superseded by a written agreement. If there is a conflict between these terms and a separate signed contract, the signed contract will control for the scope of that engagement.

Service Usage

Services are provided subject to the terms agreed upon in each engagement. Users agree to provide accurate information necessary for service delivery and to cooperate reasonably with requests for access, approvals, or resources. The organization may rely on information provided by users; inaccuracies or omissions can affect delivery timelines and outcomes. Users must not use services to engage in illegal activity or to attempt unauthorized access to systems.

Intellectual Property

Unless otherwise specified in a separate agreement, the company retains ownership of pre-existing intellectual property, methodologies, templates, and tools used to deliver services. Deliverables created specifically for a client are licensed or assigned as outlined in the applicable agreement. Users are granted only the rights expressly set forth in their contract and may not reproduce, distribute, or create derivative works from the company’s proprietary materials outside of those rights.

Limitation of Liability

The company’s liability for direct damages arising from its services is limited to the fees actually paid for the services giving rise to the claim, except where prohibited by law. Under no circumstance will the organization be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages. This limitation applies to the fullest extent permitted by applicable law.

Termination

Either party may terminate an engagement in accordance with the termination provisions set forth in the relevant agreement. On termination, any outstanding fees and expenses incurred up to the termination date become immediately due. The organization will deliver work in progress subject to payment for work performed. Certain obligations, such as confidentiality and license limitations, survive termination as specified in the contract.

Changes to Terms

The organization may revise these terms periodically. Material changes that affect current clients will be communicated via the primary contact on record and will not apply retroactively to completed engagements unless mutually agreed. Continued use of services after changes become effective constitutes acceptance of the updated terms.
